BACKGROUND/JUSTIFICATION:
South Central Water Treatment (SCWT)
The project includes construction of a new 32,000-square-foot building containing process areas, administrative space,
and a maintenance garage. The water treatment plant will provide 2,700 gpm of groundwater treatment capacity, with
infrastructure for future expansion to 4,500 gpm. Major components include four operational gravity filters with
infrastructure for two future filters, chemical feed systems, high service pumps and wetwell, backwash holding and
reclamation systems, and associated mechanical, electrical, HVAC, instrumentation, and control systems. The project also
includes a standalone 0.75 million-gallon finished water clearwell, a bulk water fill station, a water tower flow control
vault adjacent to Water Tower No. 4 for flow regulation and water tower level control, a standby generator, site utilities,
stormwater management facilities, a sanitary lift station, roadways, site restoration, and all associated piping,
appurtenances, and equipment necessary to provide a complete and fully operational water treatment facility in
accordance with the Contract Documents.
As part of the CMAR process, Rice Lake Construction Group, the City's partnered Construction Manager at Risk (CMAR),
solicited and evaluated bids from previously qualified subcontractors and suppliers for the various bid packages
associated with the project. Bid packages were publicly opened at 1:00 p.m. on June 30, 2026. The bids were
subsequently reviewed and finalized in collaboration with AE2S and the Owner to establish the Cost of the Work. CMAR
overhead and profit were then applied to the Cost of the Work, and appropriate construction contingencies were
established to account for project risks and unknown conditions. These values were incorporated into the development
of the Guaranteed Maximum Price (GMP) for the project in the amount of $31,785,448.
Rice Lake Construction Group, based in Deerwood, Minnesota, has extensive experience in water treatment plant
construction. The firm previously completed work for the City of Otsego at the West Wastewater Treatment Facility and
is currently serving as the contractor for the Wellhouse No. 3 Water Treatment Project. Staff and Engineering
recommend acceptance of Rice Lake Construction Group's GMP for completion of this work.
AE2S Amendment No. 1 to the AE2S Professional Services Agreement
The original professional services agreement with AE2S included design and bidding phase services for the water
treatment facility. The proposed professional services amendment expands AE2S’s scope to include construction
administration, resident project representative services, post-construction services, and instrumentation and controls
programming and integration.

Both the CMAR’s GMP and AE2S’s amendment were reviewed by the City Council during a special meeting on July 27,
2026, and received a recommendation for consideration of approval. The City Attorney has completed a review of both
the amendment to the CMAR Agreement establishing the GMP and AE2S's professional services amendment.

Dear Mr. Flaherty:
As part of the CMAR process, the Construction Manager at Risk (CMAR) solicited and evaluated
bids from previously qualified subcontractors and suppliers for the various bid packages
associated with the project. Bids for the various project work packages were opened on June 30,
2026. Bids were reviewed and finalized in collaboration with AE2S and Owner to establish the Cost
of the Work. Based on the CMAR's evaluation of the bids received, the proposed work package
bids were determined to be responsive to the project requirements. CMAR overhead and profit
were then applied to the Cost of the Work, and appropriate construction contingencies were
established to account for project risks and unknown conditions. The resulting values were
incorporated into the development of the Guaranteed Maximum Price (GMP) for the project.
A summary of the GMP breakdown is below for your reference. A further breakdown of the Cost
of Work is attached.

AE2S has reviewed the GMP, conferred with City staff and Council, and recommends that the City
of Otsego award the GMP construction contract amendment for the South Central Water
Treatment Project to Rice Lake Construction Group. AE2S has reviewed the proposed GMP,
conferred with City staff and the City Council, and finds the GMP to be reasonable and consistent
with the project requirements and current market conditions. Therefore, AE2S recommends that
the City of Otsego approve the Guaranteed Maximum Price and award the GMP construction
contract for the South Central Water Treatment Project to Rice Lake Construction Group.

ACCEPTING GUARANTEED MAXIMUM PRICE AND AWARDING CONTRACT AMENDMENT NO. 1
WHEREAS, pursuant to the Construction Manager at Risk (CMAR) procurement process for the Otsego South Central Water
Treatment Project, the CMAR solicited and evaluated bids from previously qualified subcontractors and suppliers for the
various work packages associated with the Project, which were received and opened on June 30, 2026, in accordance with the
CMAR procurement requirements, and has submitted a Guaranteed Maximum Price (GMP) in the amount of $31,785,448.00;
and
WHEREAS, the City Council finds the Guaranteed Maximum Price submitted by Rice Lake Construction Group to be acceptable
and in the best interest of the City.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF OTSEGO, MINNESOTA:
1. The Mayor and City Clerk are hereby authorized and directed to execute the CMAR amendment to include the
Guaranteed Maximum Price and associated contract documents with Rice Lake Construction Group of Deerwood,
Minnesota in the name of the City of Otsego for the South Central Water Treatment project according to the plans
and specifications therefore approved by the City Council and on file in the office of the City Clerk.

CONTRACT AMENDMENT NO. 1
BETWEEN OWNER AND
CONSTRUCTION MANAGER AT RISK
This Contract Amendment No. 1 (“Amendment”) to the Agreement Between Owner and
Construction Manager at Risk, as identified below (the “Original Agreement”), is entered into as
of August 10, 2026 (“Effective Date”) between the City of Otsego, a Minnesota municipal
corporation (“Owner” or “City”), and Rice Lake Construction Group , an assumed name for Rice
Lake Contracting Corp, a Minnesota corporation (“Construction Manager at Risk” or “CMAR”).
The Original Agreement is identified as follows:

Capitalized terms used but not defined in this Amendment have the meanings set forth in the
Original Agreement and the General Conditions.
WHEREAS, the Original Agreement authorized CMAR to perform Basic Services
(Preconstruction and Procurement) as set forth in Exhibit A of the Original Agreement;
WHEREAS, the parties have completed Phase 1 preconstruction services and CMAR has
submitted a Guaranteed Maximum Price (GMP) Posal for the construction phase of the Work;
WHEREAS, Owner desires to authorize CMAR to proceed with construction and the parties desire
to establish the terms and conditions governing the construction phase;
NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein,
the parties hereby agree as follows:
ARTICLE 3 – CMAR SERVICES – AMENDMENT
Article 3 of the Original Agreement is hereby amended to add the following sections:
3.08 Scope of Construction Phase Services
A. CMAR shall perform the Construction Phase Services described in this Article 3, in
addition to the preconstruction and procurement services previously authorized.
Construction Phase Services constitute “other specified CMAR Services as expressly
set forth in a Contract Amendment” as contemplated in Article 3 of the Original
Agreement.
3.09 Project Management
A. CMAR shall provide competent, experienced, full-time staff, including project
management team and experienced on-site construction field superintendent to
proactively coordinate and manage the Work, maintain the progress of

Subcontractors, coordinate ongoing activities and operations, and provide overall
direction to the Project during the construction phase.
B. The project management team shall establish on-site organization and levels of
authority to carry out the overall plans of the Project Team, and shall demonstrate
proactive project leadership in support of the City’s staff throughout the duration of
the Project.
C. CMAR shall work cooperatively with members of the Project Team to foster positive
relationships and support positive outcomes. CMAR shall assist the City with
obtaining building permits and the coordination of utility service connections and
upgrades.
D. CMAR shall prepare daily construction logs with a record of all on-site activities,
weather conditions, progress of the Work, and issues requiring resolution.
E. Provide administration of Agreement, including Applications for Payment, progress
reporting, management of CMAR staff, schedule of services, and deliverables.
3.10 Coordination Meetings
A. CMAR shall conduct bi-weekly on-site job site meetings including appropriate
Subcontractors, City representatives, and Owner’s Advisor/Engineer representatives
to review open issues, scheduling, outstanding RFIs and submittals, and resolve
pending issues. CMAR shall prepare a written agenda in advance of each meeting,
maintain an action item list with identification of responsible party and due dates
identified for each item, and distribute written meeting minutes within three (3)
business days of each meeting.
3.11 Schedule Management
A. CMAR shall prepare and maintain a Master Project Schedule incorporating the
activities of the City, the Design Team, and each prime contractor, indicating key
milestone events, dates, and responsibilities. CMAR shall monitor actual progress
against scheduled progress, identify variances, and prepare a recommended action
plan along with an updated schedule to maintain the scheduled completion dates.
B. CMAR shall determine the adequacy of Subcontractors’ personnel and equipment in
conjunction with the availability of materials and supplies to meet the schedule. Status
reports shall be provided to the City and the Project Team weekly, in conjunction with
a 3 to 4 week look-ahead schedule prepared on a weekly basis.
3.12 Project Reporting
A. CMAR shall prepare a monthly status report detailing the progress of the Work,
including applicable job-site photos, schedule status and 4-week outlook, budget
status of each construction subcontract and City costs, and a Contingency/Allowance
log.
3.13 Quality Management
A. Quality management of contracts shall include:
1. Coordination and constructability reviews of each bid package by CMAR prior
to issuing bid documents to contractors.
2. Validate construction of the Work is in strict accordance with the quality
requirements established by the Contract Documents.

3. Coordinating with 3rd Party Materials Testing and Special Inspections work with
the applicable trade firms.
4. Providing all 3rd Party Materials Testing and Special Inspections results to the
City and Owner’s Advisor for review and approval.
3.14 Project Closeout
A. CMAR shall facilitate construction closeout procedures including assembling punch
lists, operations and maintenance manuals, record drawings, warranties and
guarantees, Project commissioning, startup and testing, training, and all other
closeout deliverables required by the Contract Documents.
ARTICLE 11 – GUARANTEED MAXIMUM PRICE – AMENDMENT
Pursuant to Article 11.02 of the Original Agreement, the binding Guaranteed Maximum
Price for the Work is hereby established as Thirty-One Million, Seven Hundred Eighty-
Five Thousand, Four Hundred Forty-Eight dollars and Zero cents ($31,785,448.00), as set
forth in the GMP Proposal dated July 22, 2026, which is incorporated herein by reference.
ARTICLE 15 – CONTRACT TIMES – AMENDMENT
Section 15.01 of the Original Agreement is stricken in its entirety and replaced with the
following:
15.01 Contract Times - Dates
A. Substantial Completion: December 31, 2028
B. Final Completion and Readiness for Final Payment: May 31, 2029
C. The Final Completion date of May 31, 2029 reflects the time required to complete all
remaining Work after Substantial Completion, including site restoration and
landscaping requiring seasonal conditions for completion.
Section 15.03 of the Original Agreement is stricken in its entirety.
ARTICLE 16 – CONTRACT DOCUMENTS – AMENDMENT
Section 16.01 of the Original Agreement is amended to insert the following subparagraph
D immediately after subparagraph C:
D. Notwithstanding subparagraph 16.01.B. above, the following additional Contract
Documents for the construction phase of the Work are included in the Contract. In the
event of conflict, this Amendment shall govern over the Original Agreement:

7. Certificate(s) of Insurance – Construction Phase
8. Addenda (numbers 1 to 3, inclusive), and any other clarifications made in writing
to the CMAR and delivered in electronic format via email prior to when the GMP
Proposal was submitted.
9. The following may be delivered or issued on or after the Effective Date of the
Agreement and are not attached hereto:
a. Notice of Award;
b. Notice to Proceed;
c. Written Amendments;
d. Work Authorizations, if any;
e. Work Change Directives;
f. Change Orders;
g. Insurance Certification(s);
h. Owner-Contractor Agency Agreement.
The following Articles 18 and 19 are inserted into the Original Agreement immediately after
Article 17:
ARTICLE 18 – SALES TAX EXEMPTION
18.01 Election of ST-3 Exemption
A. The Owner has elected to implement the sales tax exemption available under
Minnesota Statutes § 297A.71 and the ST-3 Certificate of Exemption process
administered by the Minnesota Department of Revenue. In connection with this
election, notwithstanding the form of GMP attached to this Amendment, the CMAR’s
GMP proposal is based on separate bids for material costs and labor costs.
18.02 Qualifying Capital Equipment List
A. The Owner shall provide to CMAR, prior to the commencement of construction, a
written list of Qualifying Capital Equipment to be incorporated into the Project (the
"QCE List").
18.03 CMAR Obligations
A. For materials and equipment identified on the QCE List, CMAR shall:

1. Purchase such items without payment of Minnesota sales or use tax, in reliance
on the Owner's ST-3 exemption certificate;
2. Maintain records sufficient to identify each tax-exempt purchase, including
purchase orders, invoices, and delivery documentation, for a minimum of six (6)
years following Final Completion or such longer period as required by applicable
law;
3. Cooperate fully with Owner in any audit, inquiry, or proceeding by the Minnesota
Department of Revenue, including providing access to records described in
17.03(b) upon reasonable notice.
B. For materials and equipment not identified on the QCE List, CMAR shall:
1. CMAR shall purchase such items in accordance with the requirements of the
Owner-Contractor Agency Agreement.
18.04 Owner Obligations
A. Owner shall:
1. Provide CMAR with a valid ST-3 Certificate of Exemption prior to the first tax-
exempt purchase under this Article;
2. Maintain the QCE List and notify CMAR in writing of any additions, removals,
or changes to the list. Changes to the QCE List after execution of this
Amendment shall not retroactively alter the tax treatment of purchases already
made;
3. Assume sole responsibility for the accuracy, completeness, and legal
sufficiency of the QCE List and the ST-3 exemption determination. CMAR
makes no representation as to the tax-exempt status of any item.
18.05 Audit Risk Allocation
A. In the event the Minnesota Department of Revenue determines, through audit or
otherwise, that any purchase made by CMAR in reliance on the QCE List and the ST-
3 Certificate of Exemption was not exempt from sales or use tax, Owner shall be solely
responsible for any resulting tax liability, interest, and penalties attributable to items
on the QCE List. CMAR shall bear responsibility only for tax liability arising from
purchases of items not on the QCE List for which CMAR independently claimed a tax
exemption without Owner authorization.
18.06 No Lump Sum Bid
A. The parties acknowledge that the ST-3 exemption approach requires the GMP be
based on separate bids for material costs and labor costs. The GMP and all Work
Authorizations issued under this Amendment shall maintain that separation for the
duration of the Project.
ARTICLE 19 – MISCELLANEOUS
19.01 Effect of Amendments
Except as expressly modified by this Amendment, all terms and conditions of the Original
Agreement shall remain in full force and effect. This Amendment and the Original
Agreement shall be read together as a single, integrated contract.
